1. Introduction & Acceptance

By accessing or using the Kairos (usekairos.cloud) platform, services, or website (collectively, the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use the Service.

2. Description of Service

Kairos provides an AI-driven monitoring, web scraping, and alerting Software-as-a-Service (SaaS) platform. The Service allows users to create recurring monitoring configurations and receive alerts based on AI-assisted analysis of target data sources.

3. Eligibility

You must be at least 18 years of age and possess the legal capacity to enter into a binding contract to use the Service. By registering for or using Kairos, you represent and warrant that you meet these eligibility requirements.

4. Account Registration & Security

To use certain features, you must register for an account. You agree to provide accurate, complete, and current information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use or security breach.

5. Subscription Plans & Billing

Kairos offers paid subscription plans. Paddle serves as our authorized Merchant of Record (MoR) for all billing transactions. By subscribing, you authorize auto-renewal of your subscription at the applicable rates unless canceled before the next billing cycle. Plan changes or upgrades will be prorated or billed in accordance with Paddle's policies.

6. Free & Trial Plans

We may offer free or trial versions of the Service with limited features. We reserve the right to modify, reduce, or discontinue free or trial offerings at any time without notice or liability.

7. Acceptable Use Policy

You agree not to use the Service for any illegal or unauthorized purpose. Specifically, you shall not: engage in unlawful web scraping; abuse rate limits; reverse engineer the platform; use the Service to build a competitive product; or interfere with the proper functioning of the Service. Violation of this policy may result in immediate account termination.

8. AI-Generated Content Disclaimer

Critical: The Service relies on artificial intelligence to process data and generate alerts. AI outputs may be inaccurate, incomplete, delayed, or hallucinated. Kairos is NOT a substitute for professional, legal, or financial advice. Users must independently verify all AI-generated alerts and information before taking any action. We disclaim all liability for actions taken based on AI-generated content.

9. Intellectual Property

Kairos retains all right, title, and interest in the platform, including its software, designs, algorithms, and AI models. Users retain all rights to their personal data and specific monitoring configurations provided to the Service.

10. Data & Content

By submitting data or monitoring configurations to Kairos, you grant us a worldwide, royalty-free license to use, process, and store such content solely for the purpose of providing and improving the Service.

11. Third-Party Services

The Service integrates with third-party providers including Supabase (for database and authentication), Paddle (for billing), PostHog (for product analytics), and various external AI models. Your use of the Service is also subject to the terms and privacy practices of these third parties.

12. Service Availability & Modifications

We strive for high reliability, but we do not guarantee continuous or uninterrupted uptime. Kairos reserves the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

13. Limitation of Liability

To the maximum extent permitted by law, Kairos shall not be liable for any indirect, incidental, special, or consequential damages. In no event shall our aggregate liability exceed the total fees paid by you to Kairos during the twelve (12) months immediately preceding the claim. We specifically disclaim liability related to AI inaccuracies or delays.

14. Indemnification

You agree to indemnify, defend, and hold harmless Kairos and its affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debts arising from your use of the Service, violation of these Terms, or infringement of any third-party right.

15. Termination

Either party may terminate this agreement at any time. Upon termination, your right to use the Service will immediately cease. We may retain or delete your data in accordance with our Privacy Policy and data retention practices.

16. Governing Law & Disputes

These Terms shall be governed by applicable laws. Any dispute arising from these Terms or the Service shall be resolved through binding arbitration, and you waive your right to participate in a class action lawsuit.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email or an in-app dashboard notification. Your continued use of the Service following any update constitutes your acceptance of the revised Terms.
